Terms of Service
Effective from 1 January 2026. These terms govern your use of trulycertify.com and any services you engage from eEasy interMESH Private Limited.
1. Acceptance of Terms
By using this website (trulycertify.com) or engaging eEasy interMESH Private Limited ("we", "us", "TrulyCertify") for certification facilitation services, you ("you", "client") agree to be bound by these Terms of Service. If you do not agree, do not use the website or engage our services.
2. Nature of Services
TrulyCertify provides certification facilitation services. This means:
- We do not issue ISO certificates. Certificates are issued by independent, IAF-MLA accredited certification bodies appointed for each engagement.
- Our scope includes: standard recommendation, certification-body shortlisting, management-system documentation, internal audit and management-review support, pre-audit readiness, audit-cycle coordination, surveillance support, and re-certification facilitation.
- The certification-body audit, certificate-issuance decision, and accreditation are entirely within the certification body's authority and are governed by their own terms, not ours.
3. Engagement Letter Prevails
Where you formally engage us for services, a separate engagement letter ("Engagement Letter") will set out the specific scope, deliverables, timelines, fees, and other commercial terms. In case of any conflict between these Terms of Service and the Engagement Letter, the Engagement Letter prevails for that engagement.
4. Fees & Payments
- All fees are stated in the Engagement Letter and are typically split into milestone-based instalments.
- Certification-body audit fees are separate from our facilitation fees and are payable to the certification body directly or via us as agreed.
- GST, where applicable, is charged at the prevailing rate.
- Late payment may attract interest and may delay or suspend services. Repeated non-payment will result in termination of the Engagement Letter.
5. Client Responsibilities
To enable us to deliver the service, you agree to:
- Provide accurate, complete information about your organisation and operations.
- Make available the personnel and records reasonably required for documentation, internal audit, and external audit.
- Implement the management system and corrective actions in good faith.
- Pay fees per the Engagement Letter.
- Comply with the certification body's own client requirements and accreditation rules.
6. No Guarantee of Certification
We work diligently to prepare each client for a successful certification audit, and our first-time pass rate is high. However, we cannot and do not guarantee the certification-body's audit outcome. The audit decision is exclusively the certification body's. Where non-conformities are raised, we support corrective-action closure as part of the engagement.
7. Pricing & Quotations
All pricing communicated through the website, brochures, or sales conversations is indicative until a formal Engagement Letter is signed. Quotes are tailored to each client based on company size, scope, locations, standard(s), and certification-body fees. Quotes are typically valid for 30 days from issue.
8. Intellectual Property
- All website content, templates, methodologies, training materials, and proprietary tools are the intellectual property of eEasy interMESH Private Limited.
- Client-specific documentation (management-system manuals, procedures, records) produced during an engagement is licensed to the client for their internal use; the underlying templates and frameworks remain our IP.
- The TrulyCertify name, logo, and brand are owned by eEasy interMESH Private Limited.
9. Confidentiality
Each party agrees to keep confidential, and not to disclose to any third party except as required for the engagement or by law, any confidential information of the other party obtained during the engagement. This obligation survives termination of the engagement.
10. Limitation of Liability
To the maximum extent permitted by applicable law, our aggregate liability under or in connection with any engagement is limited to the fees actually paid to us under that engagement in the twelve (12) months preceding the claim. We are not liable for indirect, consequential, or special damages, loss of profits, loss of business, or reputational harm.
11. Indemnity
The client indemnifies eEasy interMESH Private Limited against losses, liabilities, costs, and expenses arising from (a) the client's breach of these Terms or the Engagement Letter; (b) inaccurate or incomplete information provided by the client; or (c) third-party claims arising from the client's operations.
12. Termination
Either party may terminate an engagement by written notice as specified in the Engagement Letter. Fees for work completed up to the date of termination remain payable.
13. Force Majeure
Neither party is liable for delay or failure caused by events beyond reasonable control, including acts of God, war, civil unrest, government action, pandemics, or large-scale infrastructure failure.
14. Governing Law & Jurisdiction
These Terms, and any engagement governed by them, are subject to the laws of India. The courts at Jaipur, Rajasthan have exclusive jurisdiction over any dispute, subject to any arbitration clause specified in the Engagement Letter.
15. Dispute Resolution
The parties will first attempt to resolve any dispute through good-faith negotiation. Where the Engagement Letter so provides, unresolved disputes will be referred to arbitration under the Arbitration and Conciliation Act, 1996, seated at Jaipur, with proceedings in English.
16. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted with a revised effective date and, for active engagements, notified by email.
